Terms of Service

These Terms of Service ("Terms") govern your use of ReferClip, operated by Qwez Ventures, LLC ("ReferClip," "we," "us"). By creating an account or using the ReferClip app, App Clip, or website, you agree to these Terms.

What ReferClip is

ReferClip is a referral tool for independent professionals ("Agents") to generate personalized referral links that their clients ("Referrers") can use to introduce the Agent to people they know ("Referees"), and to track and follow up on that activity.

Eligibility and accounts

You must be at least 18 years old to create an Agent account. You're responsible for keeping your account credentials secure and for all activity that happens under your account.

The outreach policy — this is the core rule of the product

Every referral sent through ReferClip is a personal, one-to-one introduction — the digital equivalent of a Referrer calling an Agent and vouching for someone by phone. As an Agent, you may contact any Referee directly once they've been referred to you, whether or not they ever click their link — these are direct referrals, not an opt-in marketing list.

What you may notdo is treat the aggregate list of a Referrer's referrals, or any client's contacts, as a bulk or automated outreach list. Each Referee gets an individual, personal follow-up from you. Using ReferClip to send unsolicited bulk messages, spam, or automated blasts is a violation of these Terms and grounds for account termination.

Age of Referees

When creating a referral link, you attest that the referral request is limited to contacts who are 18 years of age or older. ReferClip has no technical way to verify a Referee's age, and this attestation places responsibility on you, as the professional of record, to honor it.

Acceptable use

You agree not to use ReferClip to:

• Send unlawful, harassing, deceptive, or fraudulent messages to Referees.
• Refer contacts without a good-faith belief that the Referrer knows them personally.
• Attempt to circumvent the one-to-one referral model described above.
• Interfere with or attempt to gain unauthorized access to ReferClip's systems.

Third-party services

ReferClip integrates with services we don't control, including Apple's Messages app (used to send referral texts from a Referrer's own device) and Calendly (if an Agent links a scheduling page). We're not responsible for the availability or content of those third-party services.

No guarantee of outcomes

ReferClip helps you generate and track referrals — it doesn't guarantee that any referral results in a booked appointment, a sale, or any particular business outcome.

Disclaimer of warranties

ReferClip is provided "as is," without warranties of any kind, express or implied, including fitness for a particular purpose or uninterrupted availability.

Limitation of liability

To the fullest extent permitted by law, Qwez Ventures, LLC will not be liable for any indirect, incidental, or consequential damages arising from your use of ReferClip.

Termination

We may suspend or terminate an account that violates these Terms, including the outreach policy above. You may stop using ReferClip and request account deletion at any time.

Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll update the date at the top of this page.

Governing law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
